Plain-English summary
Onepass is software. If you run a league (an organizer), we host your tools. If you play in one (a player), we host your account and connect you to your team. We don't run the leagues, schedule the games, choose the venues, settle disputes, or guarantee anyone's safety. We store and compute what users put in; we don't verify it. Treat other users with respect, and accept that we're a small team running best-effort software. Read on for the legal version.
These Terms of Service (the “Terms”) govern your access to and use of Onepass (the “Service”), operated by Onepass (“Onepass”, “we”, “us”). By creating an account, signing in, accepting an invitation, or otherwise using the Service, you agree to these Terms. If you don't agree, don't use the Service. These Terms apply equally whether you use Onepass as an organizer (someone who creates an organization and runs leagues), a player (someone who accepts an invite to a team), a captain (a player with team-level admin), or any combination of those roles.
1. Accuracy of information you provide
Every user supplies their own information. Organizers enter league settings, schedules, rosters, scores, venue addresses, cost models, season plans, and the rest of the program data. Players enter their name, optional date of birth, optional gender, and anything else they add to their profile. Captains may enter scores and roster changes for their team. We store this data and run computations on it. We do not independently verify accuracy, completeness, or timeliness. If a score is wrong, a player is on the wrong roster, a venue address is outdated, a profile detail is incorrect, or a margin calculation shows surprising numbers because the inputs were wrong, that is the responsibility of the user who entered the data.
2. Conduct and outcome of sports programs
Onepass is software, not a sports organizer. Organizers run the programs: they hire officials, select venues, choose rules, schedule games, enforce conduct policies, and decide who plays. Cancellations, no-shows, forfeits, weather decisions, officiating disputes, venue problems, equipment failures, and program-level outcomes are all the organizer's responsibility. Onepass does not staff, supervise, or oversee any program run on the platform.
If you're a player, you agree that joining a team on Onepass means you're participating in a program run by an organizer, not a program run by Onepass. Any complaint about how that program is run — schedule changes, officiating, eligibility decisions, refund policy, code of conduct, anything — goes to the organizer, not to Onepass.
3. Player health, safety, and assumption of risk
Sports involve risk of injury, including serious or catastrophic injury. If you're playing, you acknowledge and accept the risks inherent to your sport. You're playing in someone else's program — Onepass is the software the organizer uses to schedule the game, not the organizer of the game itself. Any waivers, releases, or assumption-of-risk agreements run between you and the organizer running the program, not between you and Onepass. Onepass is not responsible for medical incidents, physical injury, emotional distress, or any other harm arising from participation in a sports program coordinated through the Service.
4. Disputes between users
Disputes between users are between those users. Onepass is not a party to them, will not adjudicate them, and will not be liable for their outcome. Common examples include:
- Organizer ↔ player. Refunds, suspensions, removal from a team, missed games, eligibility decisions, conduct enforcement. The organizer initiates; the player is affected. Work it out with the organizer.
- Player ↔ player. Conduct disputes between teammates or opponents, captain decisions about a roster, on-court disagreements. Work them out directly, escalate to the organizer if needed.
- Score and standings disputes. Wrong score, missed game, contested result. Organizers can edit any score; captains can edit scores for their own team's games within 48 hours of game time from the game's public page. Escalate to the organizer if the captain edit window has closed.
Organizers should publish clear rules to their participants; players should read them before joining.
5. Payments — today and in the future
Onepass does not process payments today. If you're a player, anything you pay your league — registration fees, jersey costs, tournament fees — is paid to the organizer off-platform. If you're an organizer, any money you collect from your players flows through whatever channel you've set up outside Onepass. Onepass is not a party to those transactions and does not hold, escrow, or move money in Phase 1.
In a future phase of the product, Onepass may facilitate payments through a third-party payment processor. When that happens, Onepass will act as a technical facilitator only; the organizer remains the merchant of record for the program itself, and the third-party processor handles card data and money movement under its own terms. Onepass is not responsible for processor outages, chargebacks, fraud, or tax matters arising from program revenue.
6. Service providers
Onepass relies on third-party service providers, including (a) a website hosting provider, (b) a database hosting provider, (c) an email delivery provider, and (d) an anonymous performance-monitoring service. The specific vendors may change as we evolve the platform. Where required by law, we enter into appropriate data-processing agreements with these providers (including Standard Contractual Clauses or equivalent safeguards for transfers outside the EEA/UK). Outages, security incidents, data loss, or other failures originating from these providers are not Onepass's liability except where applicable law requires otherwise.
7. Service availability
The Service is provided on a best-effort basis with no service-level agreement. We may take it down for maintenance, updates, security work, or bug fixes, with or without notice. We may add, change, or remove features at any time. We aim for high availability, but we do not guarantee uninterrupted access, and we do not warrant that defects or errors will be corrected.
8. Data loss and backups
We maintain reasonable backups, but we do not guarantee that data will never be lost or corrupted. Organizers should export critical data periodically (for example, season plans, rosters, and standings) and keep their own copies of anything they consider irreplaceable. Players can keep their own records of games played, scores, and any history they care about preserving.
9. Acceptable use and conduct
You may not use the Service to upload illegal content, harass other users, send spam, infringe intellectual property, attempt to breach security, or for purposes outside running and participating in sports programs. You may not impersonate another person, scrape the Service at scale, or circumvent any technical restriction. You are responsible for all content you upload — team names, player names, scores, notes, profile details, and any communications sent through the Service.
Specifically for players, captains, and organizers interacting with each other:
- No harassment. Toward teammates, opponents, captains, or organizers. On Onepass or off.
- No impersonation.Use your real name on your profile. Don't sign up on someone else's behalf without their consent.
- No misuse of rosters. If you have access to a roster as an organizer, captain, or teammate, you may not use the names or contact info on it for non-program purposes — no marketing, no recruiting players for other leagues, no spam.
10. Account suspension and termination
We may suspend or terminate any account at our discretion if we believe it has violated these Terms, harmed other users, or put the Service at risk. You may stop using the Service at any time by contacting us at the support address below.
Separately, an organizer can remove you from their roster without Onepass's involvement, and a captain can remove a non-captain teammate. That removes you from the team; it does not remove your Onepass account. Your account stays active and you can still be invited to other teams.
11. Public visibility
Onepass league pages are public by default. If you're a player, your name appears on public surfaces tied to the leagues you join: the standings, the schedule, the score strip showing recent and upcoming games, and your team's public page. By joining a team you agree to that public visibility. If you don't want your name public, talk to your organizer — they decide what their public league pages show, and future versions of Onepass may give them tools to keep rosters off public surfaces. Today, the public league page is the default. If you're an organizer, your organization page, league pages, team pages, and game pages are visible to anyone with the link.
12. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONEPASS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, RELIABILITY, COMPLETENESS, QUIET ENJOYMENT, AVAILABILITY, AND SECURITY, AS WELL AS ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR TRADE USAGE.
ONEPASS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS OR ERRORS WILL BE CORRECTED; THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; OR THAT ANY DATA WILL NOT BE LOST, CORRUPTED, OR INACCURATELY DISPLAYED. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ONEPASS OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST OR CORRUPTED DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR THE COST OF PROCURING SUBSTITUTE PRODUCTS OR SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER UNDER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND EVEN IF ONEPASS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONEPASS'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE — UNDER ANY THEORY OF LIABILITY, AND IN THE AGGREGATE ACROSS ALL CLAIMS — WILL NOT EXCEED THE GREATER OF (a) CAD $100, OR (b) THE AMOUNT YOU ACTUALLY PAID TO ONEPASS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. YOU ACKNOWLEDGE THAT THE SERVICE IS CURRENTLY OFFERED FREE OF CHARGE AND THAT THIS CAP THEREFORE COULD BE AS LOW AS CAD $100.
THE FOREGOING LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN THOSE JURISDICTIONS, ONEPASS'S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
14. Indemnification
You agree to defend, indemnify, and hold harmless Onepass and its affiliates, officers, directors, employees, agents, and contractors from and against any and all claims, demands, actions, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to (a) your access to or use of the Service, (b) your violation of these Terms, (c) your violation of any law or any right of any third party (including intellectual-property, privacy, or publicity rights), (d) any program, league, team, or activity you organize, host, captain, or participate in, (e) any content, data, or information you submit, upload, or transmit through the Service, and (f) any dispute between you and another user. Onepass reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with Onepass's defense of that matter. You may not settle any matter that affects Onepass without Onepass's prior written consent.
15. Governing law and dispute resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws rules. Disputes arising under or in connection with these Terms (including their existence, validity, or termination) will be brought exclusively in the courts located in Toronto, Ontario, Canada, and you and Onepass each consent to the personal jurisdiction of those courts.
To the extent permitted by applicable law, claims must be brought on an individual basis only and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. If a court of competent jurisdiction finds this waiver unenforceable as to a particular claim, that claim shall be severed and the remainder of these Terms shall continue to apply.
16. Changes to these terms
We may update these Terms from time to time. For material changes, we'll notify users by email or by an in-product notice. The “Last updated” date at the top of this page reflects the most recent revision. Continued use of the Service after a material change means you accept the updated Terms.
17. Eligibility
You must be at least 18 years old to create or use an Onepass account, or have the consent of a parent or legal guardian. This applies to every user — organizer, captain, or player. Organizers running programs that involve minors are solely responsible for collecting parental or guardian consent before inviting a child to Onepass, along with any waivers and other documentation required by their jurisdiction or governing body. Onepass does not collect parental consent on behalf of organizers and does not verify the age of program participants. A parent or guardian who accepts these Terms on behalf of a minor is responsible for the minor's use of the Service.
18. General provisions
(a) Force majeure
Onepass is not liable for any failure or delay in performance of its obligations under these Terms to the extent caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, governmental action or restriction, labor disputes or shortages, internet or telecommunications failures, third-party service outages, cyberattacks, denial-of-service attacks, and supply-chain disruption.
(b) Survival
Any provision of these Terms that by its nature should survive termination or expiration will survive, including without limitation the disclaimers of warranty, limitation of liability, indemnification, governing law and dispute resolution, and these general provisions.
(c) Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or, if it cannot be so modified, severed; the remaining provisions will continue in full force and effect.
(d) No waiver
Onepass's failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. Any waiver must be in writing and signed by Onepass to be effective.
(e) Assignment
You may not assign, delegate, or transfer your rights or obligations under these Terms, in whole or in part, by operation of law or otherwise, without Onepass's prior written consent. Onepass may assign these Terms freely, including to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets. Any attempted assignment in violation of this section is void.
(f) No third-party beneficiaries
These Terms are for the benefit of you and Onepass only, and confer no rights, benefits, or remedies on any third party.
(g) Entire agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Onepass with respect to the Service and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral, relating to the same subject matter.
(h) Relationship of the parties
Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Onepass.
